The Board of Governance (BoG) is the highest institutional oversight body at the Modern College of Business and Science (MCBS), vested with the authority to guide the College’s strategic direction, policy framework, financial sustainability, and institutional accountability. The BoG ensures that all institutional activities align with the College’s mission, vision, and values, and comply with national regulations issued by the Ministry of Higher Education, Research, and Innovation (MoHERI). Below is the Terms of Reference (TOR) of the BoG at MCBS. The TOR is based on Ministerial guidelines for good governance and is aligned to Accreditation Standards of OAAAQA and other international best practices. The TOR is subject to a regular review and updates.

  1. Review the College succession plan of the Dean and Senior Management positions.
  2. Approve terms of reference of the Dean.
  3. Ensure students and other stakeholders’ rights are upheld in the case of program changes and service alterations.
  4. Review the senior management structure, including duties and responsibilities assigned to officers of the College.
  5. Advise on matters relating to all employees, including:
    • Employee salary scales, compensation strategy, and philosophy.
    • New benefit and incentive programs or material changes to existing compensation programs.
  6. Review and advise on the establishment, merger, or cancellation of academic departments, research, and academic centers before or after submission to the ministry for approval.
  7. Review recommendations and proposals of the College Board and take necessary decisions, including:
    • Approve changes in tuition fees after ministry approval.
    • Approve changes in student admission policies.
    • Accept gifts, subsidies, and donations provided to the College after ministry approval.
    • Approve the institution’s internal policies and regulations if required.
  8. Participate with management in developing and approving the College’s Mission, Vision, and Values.
  9. Participate with management in developing and approving the College’s strategic plan.
  10. Approve and act as the guardian of MCBS’s values, including approving the Code of Conduct and Conflict of Interest Guidelines.
  11. Direct management to ensure the College operates within applicable laws and regulations and adheres to the highest ethical standards.
  12. Ensure the College has a plan or policy enabling effective communication with stakeholders and the public.
  13. Ensure timely reporting of developments that have a significant and material effect on the College, including recommendations for legislative or policy amendments.
Based on a call from the Board Chair, the board meets at least three times per academic year
